TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you ("User", "Customer", "you", or "your") and Vardhman Cosmetics ("Company", "we", "us", or "our"), governing your access to and use of our website www.c18paris.in related mobile applications, and all associated services (collectively, the "Platform").

By accessing, browsing, registering on, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Returns and Refunds Policy, Shipping Policy, Wallet and Payments Policy, Loyalty Program Terms, and any other policies published on the Platform from time to time (collectively, the "Policies"). If you do not agree with these Terms, you must immediately discontinue using or accessing the Platform.

This document constitutes an electronic record in accordance with the Information Technology Act, 2000 and the Consumer Protection (E-Commerce) Rules, 2020. It does not require any physical or digital signature.

1. DEFINITIONS AND INTERPRETATION

For the purposes of these Terms:

1.1 "Account" means a personalized profile created by you on the Platform to facilitate purchases, access services, and manage transactions.

1.2 "Applicable Law" means all applicable statutes, enactments, Acts of Parliament, ordinances, rules, by-laws, regulations, notifications, policies, directions, directives, guidelines, and orders issued by any governmental authority or court of competent jurisdiction in India, including but not limited to the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, the Information Technology Act, 2000, the Legal Metrology Act, 2009, and the Drugs and Cosmetics Act, 1940, together with any amendments, modifications, or re-enactments thereof.

1.3 "Force Majeure Event" shall have the meaning assigned to it under Clause 21.

1.4 "Products" means all goods, including beauty, cosmetics, skincare, personal care, and lifestyle products, listed for sale on the Platform.

1.5 "Services" means all functionalities provided through the Platform, including product listings, payment processing, order fulfillment, delivery, loyalty programs, wallet services, and customer support.

1.6 "User Content" means any text, image, video, review, comment, or other material posted, uploaded, submitted, or otherwise made available by a User through the Platform.

The headings contained in these Terms are for convenience only and shall not affect their interpretation. Words importing the singular shall include the plural and vice versa. References to any statute shall include all amendments, modifications, re-enactments, and replacements thereof.

2. ACCEPTANCE OF TERMS

• By creating an Account, placing an order, or using any part of the Platform, you enter into a legally binding agreement with Vardhman Cosmetics and agree to comply with these Terms.

• By clicking "I Agree" or otherwise affirmatively accepting these Terms during registration, checkout, or while using specific services, you expressly consent to be bound by these Terms.

• We reserve the right to modify, amend, or update these Terms from time to time to comply with Applicable Law or business requirements. Any revisions will be published on the Platform together with the updated effective date. Your continued use of the Platform following such changes shall constitute your acceptance of the revised Terms.

• You must be at least eighteen (18) years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872 in order to access or use the Platform.

• If you are under the age of 18 years, you may use the Platform only under the supervision of a parent or legal guardian, who shall be deemed to have accepted these Terms on your behalf and shall remain responsible for your actions.

• You agree to provide accurate, current, and complete information during registration and to keep such information updated at all times. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activities conducted through your Account. Any unauthorized use of your Account must be reported to Vardhman Cosmetics immediately.

• Vardhman Cosmetics reserves the right to suspend, restrict, or terminate any Account suspected of fraud, misrepresentation, unauthorized activity, or violation of these Terms.

• You may use the Platform only for lawful purposes and strictly in accordance with these Terms.

You shall not:

1. Upload, post, publish, or transmit any unlawful, defamatory, obscene, offensive, infringing, or otherwise harmful content;

2. Interfere with, disrupt, damage, or compromise the security, integrity, or proper functioning of the Platform;

3. Use bots, crawlers, scrapers, spiders, or any other automated means to access the Platform without our prior written authorization;

4. Engage in fraudulent activities, including misuse of promotional offers, impersonation, false representations, or unauthorized resale of Products; or

5. Violate any Applicable Law or infringe upon the intellectual property or other legal rights of any third party.

Any violation of this Clause may result in immediate suspension or termination of your Account and may also lead to appropriate legal action.

We make reasonable efforts to ensure that all product descriptions, pricing, images, specifications, and availability information displayed on the Platform are accurate. However, inadvertent errors may occur, and we reserve the right to correct such errors without prior notice.

All Products available on the Platform are sourced from authorized brands, manufacturers, or distributors. We do not knowingly permit the sale of counterfeit products. Any concerns regarding product authenticity should be reported to c18pariscosmetics@gmail.com

All mandatory disclosures required under the Legal Metrology Act, 2009 and other applicable laws are displayed on the relevant product pages.

You may submit reviews, ratings, comments, or other User Content, provided that such content is lawful, truthful, and does not infringe the rights of any person. By submitting User Content, you grant Vardhman Cosmetics a worldwide, perpetual, irrevocable, royalty-free, transferable, and non-exclusive license to use, reproduce, modify, publish, display, distribute, and otherwise exploit such content in connection with the Platform.

We reserve the right to remove, edit, or refuse to publish any User Content that violates these Terms or Applicable Law.

All content available on the Platform, including text, graphics, logos, trademarks, images, software, and other materials, is owned by Vardhman Cosmetics or its licensors and is protected under applicable intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

Promotional codes, gift cards, loyalty programs, and reward points are governed by their respective terms and conditions displayed on the Platform. Any misuse may result in suspension or termination of your Account. Loyalty points and gift cards are non-transferable, non-refundable, and shall expire in accordance with their applicable terms.

The Platform and all Products are provided on an "as is" and "as available" basis without any express or implied warranties, except as expressly required under Applicable Law.

Users are advised to carefully review product ingredients and perform an appropriate patch test before using cosmetic or skincare products. Vardhman Cosmetics shall not be liable for allergic reactions, side effects, product incompatibility, or suitability for any particular purpose.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Surat, Gujarat.

3. ORDERS, ACCEPTANCE, AND CANCELLATION

Placing an order on the Platform constitutes an offer by you to purchase the selected Products. An order shall be deemed accepted only when we issue a dispatch confirmation.

We reserve the right to refuse, reject, or cancel any order at our sole discretion, including in cases of stock unavailability, pricing errors, suspected fraudulent activity, or any other legitimate reason permitted under Applicable Law.

You may cancel your order before it has been dispatched, subject to the terms set out in our Returns and Refunds Policy.

4. PAYMENTS AND REFUNDS

Payments are accepted through the payment methods displayed on the Platform and are securely processed by authorized third-party payment service providers. We do not store your complete payment card details and shall not be responsible for any errors, delays, transaction failures, or other issues arising from the services of such third-party payment providers.

Refunds, where applicable, shall be processed strictly in accordance with our Returns and Refunds Policy, as published on the Platform from time to time.

5. LIMITATION OF LIABILITY

To the maximum extent permitted under Applicable Law:

5.1 Platform Use Disclaimer

You acknowledge and agree that your access to and use of the Platform, its content, Products, and Services is entirely at your own risk. The Platform and all Products are provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted availability.

5.2 Exclusion of Certain Damages

Under no circumstances shall Vardhman Cosmetics, its affiliates, subsidiaries, directors, officers, employees, agents, licensors, partners, or service providers be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages whatsoever, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, or any other intangible losses arising out of or in connection with:

(a) Your access to, use of, or inability to access or use the Platform or any Products;

(b) Any unauthorized access to or use of our servers, systems, databases, or Personal Data;

(c) Any interruption, suspension, delay, or failure of the Platform resulting from a Force Majeure Event or any third-party failure;

(d) Product defects, delayed deliveries, or issues arising from third-party sellers, logistics providers, or service providers; or

(e) Any content, products, materials, advertisements, or services provided by third parties through or in connection with the Platform.

5.3 Cap on Liability

To the fullest extent permitted by Applicable Law, the total aggregate liability of Vardhman Cosmetics for any claim arising out of or relating to these Terms, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of:

(i) The total amount actually paid by you for the specific order giving rise to such claim; or

(ii) INR 5,000 (Indian Rupees Five Thousand only).

5.4 Jurisdictional Exceptions

Certain jurisdictions may not permit the exclusion or limitation of specific warranties or liabilities. In such circumstances, our liability shall be limited to the maximum extent permitted under the Applicable Law of the relevant jurisdiction.

By accessing or using the Platform, you acknowledge and agree that the limitations of liability set forth in this Clause are fair, reasonable, and form an essential basis of the agreement between you and Vardhman Cosmetics.

6. THIRD-PARTY CONTENT AND LINKS

The Platform may contain advertisements, hyperlinks, references, content, products, applications, or services operated or provided by independent third parties ("Third-Party Content" or "Third-Party Services"). Such Third-Party Content and Services are provided solely for your convenience and informational purposes.

Vardhman Cosmetics neither controls nor endorses, and assumes no responsibility for:

(a) The accuracy, completeness, reliability, or relevance of any Third-Party Content;

(b) The quality, legality, safety, availability, or suitability of any Third-Party Services or products offered through such third parties; or

(c) Any loss, damage, liability, or expense arising out of your access to, reliance upon, or use of any Third-Party Content or Services.

If you choose to access or use any Third-Party Content or Services:

1. You do so entirely at your own risk and subject to the applicable terms and privacy policies of such third parties.

2. Any dispute, claim, complaint, or issue arising out of or relating to any Third-Party Services shall be resolved solely between you and the respective third party.

3. Vardhman Cosmetics shall not be liable for any acts, omissions, products, services, or content of such third parties except where liability cannot be excluded under Applicable Law.

Where the Platform integrates with third-party service providers, including payment gateways, logistics providers, analytics providers, cloud service providers, or social media platforms, you acknowledge and agree that:

• Such third parties operate independently, and we do not guarantee their availability or performance.

• We may share limited information with such third parties where necessary to provide requested services, subject to our Privacy Policy.

• We disclaim all responsibility for any delays, failures, errors, security incidents, or breaches caused by such third-party providers.

By using the Platform, you expressly release Vardhman Cosmetics from any claims, liabilities, or damages arising from your use of any Third-Party Content or Third-Party Services.

7. FORCE MAJEURE

We shall not be liable for any failure to perform, or delay in performing, any obligation under these Terms where such failure or delay results from events, circumstances, or causes beyond our reasonable control (each, a "Force Majeure Event").

A Force Majeure Event includes, without limitation, acts of God, floods, earthquakes, storms, fires, epidemics, pandemics, public health emergencies, war, armed conflict, terrorism, civil unrest, riots, strikes, lockouts, labour disputes, embargoes, government actions, judicial orders, transportation disruptions, shortages of power, fuel, labour, or materials, cyberattacks, hacking incidents, communication failures, system failures, or failures of third-party suppliers or service providers.

In the event of a Force Majeure Event:

(a) We shall take commercially reasonable steps to minimize its impact on our operations;

(b) Our obligations under these Terms shall remain suspended for the duration of the Force Majeure Event; and

(c) We may, at our sole discretion, cancel or terminate any pending order without liability where the Force Majeure Event continues for more than thirty (30) consecutive days.

You acknowledge that Force Majeure Events are beyond our reasonable control and agree that Vardhman Cosmetics shall not be responsible for any direct, indirect, incidental, consequential, or special losses arising from such events.

8. MISCELLANEOUS

Assignment

We may assign, transfer, or delegate our rights or obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without our prior written consent.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

No Waiver

Any failure or delay by Vardhman Cosmetics in exercising or enforcing any right or remedy under these Terms shall not constitute a waiver of such right or remedy.

Entire Agreement

These Terms, together with all Policies incorporated by reference, constitute the complete and entire agreement between you and Vardhman Cosmetics regarding your use of the Platform and supersede all prior communications, understandings, or agreements relating to the subject matter hereof.

Notices

All legal notices, communications, or requests relating to these Terms shall be sent to c18pariscosmetics@gmail.com  unless otherwise notified by the Company.

Updates to these Terms

We reserve the right to modify, amend, or update these Terms at any time. Updated versions shall be published on the Platform and shall become effective immediately upon publication unless otherwise stated. Your continued use of the Platform following such publication shall constitute your acceptance of the revised Terms.
